Terms & Conditions
- Member shall mean and include applicant and/or authorized card holders. Centre shall mean Cube Space Business Centre, Nagpur.
- The Centre provides business and office facilities & services for the exclusive use and benefit of its Members on payment of prescribed charges for the same.
- Subject to the terms and conditions of the Centre, as modified and amended/altered from time to time, the Member shall have benefit of sharing in common, availing and enjoying the business services & facilities provided at the Centre during the continuance of his Membership. The Membership is not transferable.
- Membership:
- An Individual, Firm, Company or LLP may be Member on payment of registration fee/Membership Charges on Hourly / Daily / monthly / quarterly subscription as prescribed from time to time.
- Receipt by the Centre of duly completed Application Form and appropriate fees shall be deemed as acceptance of the terms and conditions of the Membership and the rules & regulations of the Centre as in force from time to time by the concerned Member.
- The Monthly Membership Subscription charges for the use of the Centre Facilities are payable in advance along with deposits(If Any). The Membership deposit(If any) will be refunded without interest to Members, after deducting amount dues, breakages, damages (if any) within 30 days after the termination of the Membership.
- The Member shall have to give minimum One (1) month notice period before discontinuing the membership or equivalent to the deposits given whichever is higher.
- No refund shall be given if the notice period is not served.
- Late payment charges 1000+(18% GST) or 2%+(18% GST) of Subscription charges/Total outstanding whichever is higher will be applicable if payment is not done on or before the date of Invoice or renewal date of membership whichever is applicable.
- The Registration Fees and /or subscription Charges and/or tariff paid for various plans shall not be refunded under any circumstances.
- As a rule, advance payment is to be made for the various Services availed by members.
- Members are requested to renew their plans by making payments in advance before the expiry of their respective plans. It may be noted that delay in payment of Hourly/Daily/Monthly/ Quarterly plan may disqualify the members for use of the Centre.
- The Centre reserves the right to revise/increase scale its subscription charges, fees, service charges, deposit amount and also has right to amend and/or alter any of its terms & conditions and/or rules and regulations without notice and the same shall be binding on all the Members.
- The Membership Card (Access Card) must be presented for the use of the Centre facilities.
- Entry without access card will be denied.
- The Centre may at its absolute discretion accept or reject a Member or terminate the Membership at any time without giving any reason for the same. Upon termination of the Membership, the Member shall remove its employees and its belongings from the said premises immediately within 24 hours of the termination.
- The Member shall not make any holes/stick/damage on wall or anywhere for hanging Photo frame or other items. Also, Member shall not make any alterations or additions in the Premises without prior written consent of the Centre.
- Member is aware that, Centre is not having power backup facility.
- The Member is required to disclose the Full Name, Contact Details and ID Proof of persons who will work in the premises. Centre may deny entry of the Member, his Staff, or his Visitor, if Centre finds him or her in inappropriate condition or behavior. Also, Members Visitors are required to make an entry in the Visitors register at the reception counter if requested.
- The Member shall utilize, and shall ensure that its Staff/employees utilize, the equipment and facilities provided in the premises and in the Centre with due care and caution. The Member will be liable for all damage or destruction caused by it or its employees to the equipment and facilities provided in the Centre and in the premises in particular.
- The Member is liable for any damage caused by it or by those in the Centre with the Member permission or at the Member invitation whether express or implied, including but not limited to all employees, contractors, agents or other persons present on the premises. The Member agrees to pay for the damage in accordance with the Interior and standards of the Business Centre, and if the Member fails to do so the Centre may deduct it from the security deposit and Clients membership is terminated with immediate effect.
- No usage of Agarbatti, Dhoop, Diya (Lamp) or any kind of substance causing smoke is allowed in the Premises.
- Member shall maintain silence at all the time, and should not cause inconvenience to other members.
- Member shall maintain his voice to minimum(low) level while having conversation in person or over any electronic medium with appropriate language, and should not use foul or abusive language.
- The Member must comply with all relevant laws and regulations in the conduct of its business. The Member must do nothing illegal in connection with its use of the Centre. The Member must not do anything that may interfere with the use of the Centre by Cube Space or by others, cause of nuisance or annoyance, or cause loss or damage to Cube Space Business Centre (including damage to reputation) or to the owner of any interest in the building which contains the Centre the Member is using.
- The Working Hours of the Centre would be from 9.00 A.M. to 9.00 P.M. Monday to Friday and 10:00AM to 6:00PM on Saturday. The Services & facilities of the Centre would, however, be available from 10.00 A.M. to 5.30 PM. Any Major Maintenance of the centre shall be scheduled on Saturday without prior intimation to Member.
- The Centre normally remains closed on Sundays and certain Bank and Public Holidays. However, on special request, the Centre at its discretion consider providing facilities to any or more of its Members on non-working days or outside normal working hours. The charges for such special facilities and services shall be payable separately in advance.
- The use of the common area and waiting area is restricted to the Members only for their occasional use and no Member will be permitted to use the common and waiting area as his office.
- Efforts will be made to ensure a high standard of efficiency, however the Centre shall not be liable for loss or damages, if any, caused on account of the non-availability of services or facilities during the requested time, and/or for any errors, omissions, negligence etc. of any of its staff members.
- Members are requested to ensure that their Staff/Visitors observe and maintain proper decorum and good behavior in the Centre premises. The Centre reserves the right to refuse or withdraw permission for entry or use the Centre premises to any person for any disturbance, unruly behavior or acts of indiscipline.
- The members shall make use of the facilities/ services provided at the Centre and are prohibited from installing their own office or telecommunication equipment, such as Laser Printers, Telephone, Fax etc. However, the members having heavy volume of work and desire of having their own equipment(s) may write to the Centre for necessary permission for using their own equipment(s). Then Centre, at its discretion, may permit use of such equipment(s) subject to the payment of additional service charges and other terms as may be decided by the Centre.
- The Member shall not carry on any business or activity which could be construed as illegal, defamatory, immoral or obscene and agree not to use the address of the Centre whether directly or indirectly for any such purposes.
- In no event shall the Centre be liable for any Member loss.
- The Member will indemnify the Centre against any expenses, costs, claims, damages or penalties, incurred by the member, howsoever occasioned, including through any damage or loss caused to any third parties arising out of any acts or omissions on part of the Member and/or their staff members.
- The Centre is not responsible for any cash, jewelry or any other valuables kept at the premises. The Member may keep such good or any valuables at his sole and entire risk. The Centre does not in any circumstances undertake to compensate the Member or its agent, staff, visitor in case of loss arising out of theft, loss, damage, destruction or any other unforeseen circumstances.
- The center is not responsible for any physical injury caused in the center for any reason, member has to keep his First aid kit with him.
- The Member agrees not to hire or employ any of the employee/s of the Centre and in the event of his doing so, he will pay to the Centre an amount equivalent to the cost of hiring and training a replacement or an equivalent to six month salary of the employee, whichever is greater.
- Invoices sent by Email or other electronic mode by the Centre to the Member shall constitute valid delivery of the invoices.
- Dishonor of cheques will attract a fee equivalent to INR 1,000 or such other as may be charged by the bank, whichever is higher and the Member shall bear all bank charges. The Centre also reserves the right to withhold services while there are any outstanding fees and/or interest.
- The Membership does not entitle the Member, the right to demand or use of the Centre premises, facilities or services while the Centre will do everything in its power to continue to provide these as per terms hereof. The Centre does not accept any responsibility or liability for any failure because of any circumstances such as strikes, lockout, lockdown, breakdown or interruption in any power supply, telephone or other services.
- Member have to take prior written consent for Bank Account Opening, Shop Act (Gomasta) License, GST registration, address proof related document, or Company formation. Creating such documents without written consent is considered as Invalid.
- A Special letter will be issued in favor of Bank for opening a bank account by the Centre. Without the special letter, bank is not authorized to use this Membership Terms & Conditions for opening an account or any registration.
- The Centre should not be held responsible for any fraudulent business act or financial transactions done by Member. Also, it is Member responsibility to pay all taxes and liabilities for his/her and on their Company Name.
- In the event of the Member making use of the aforesaid facilities for any purpose other than confide commercial office purposes, or for any fraudulent business or any activity of the Member and the same resulting in any civil or criminal action, the Member shall keep Centre fully indemnified against all arise there from.
- Member can bring into the said Centre only office records and documents etc. but in any event no hazardous and inflammable items or things shall be brought into the office by the Member.
- The Member agrees not to smoke in the office nor consume alcoholic beverages in the premises and/or elsewhere in the Centre or any part thereof.
- Members are requested not to allow or permit any outsiders to use the Centre premises or any part thereof.
- Signage: The Member may not put up any signs/board on the doors of their accommodation or anywhere else visible from outside the room(s) without written approval from the Business Centre. The Centre reserves the right to charge a fee for any signage and to specify its design to ensure it remains in keeping with the Centre design.
- Keys and Security: Any keys or entry cards which the Centre lets the Member use remain the Centre property at all times. The Member must not make any copies of the keys and / or entry cards or allow anyone else to use them without the Centre consent. Any loss must be reported to the Centre immediately and the Member must pay a reasonable fee for replacement keys or cards and of changing locks, if required. This rule improves security levels of the Business Centre. If the Member is permitted to use the Business Centre outside normal working hours, it is the Member responsibility to lock the doors to their accommodation and to the Business Centre when they leave. This is to ensure the safety of individuals and property at the Business Centre.
- Entrances and Exits: The Member shall not leave open any corridor doors, exit doors or door connecting corridors/reception during or after business hours for security purposes and if the Member does so, it will be at the Member own risk. All corridors, halls, stairways, reception, shall not be obstructed by the Member or used for any purpose other than entering and exiting. The Member can only use public areas with the consent of the Centre and those areas must be kept neat and attractive at all times.
- Dining Area Usage: Dining area should be used only for the purpose for breakfast, lunch, and dinner only. Meeting, discussions, Mobile/laptop usage for any purpose in dining area is strictly prohibited.
- Name and Address: Member must not use our name in any connection with their Business except as an address. Centre is not liable for any act/ promises/ commitments done by you or your company.
- Member have to take prior written consent for Bank Account Opening, Shop Act (Gomasta) License, GST registration, address proof related document, or Company formation. Creating such documents without written consent is considered as Invalid.
- Employees and Guests: The Member employees and guests noise level will be kept to a level so as not to interfere with or annoy other Members and the Member will abide by the Centre directives regarding security, keys, parking and other such matters common to all Members. No part of the office or Business Centre may be used for overnight accommodation.
- Equipment: The Member shall not store or operate in Centre(s), any computer (except a personal computer) or any other large business machine, reproduction equipment, heating equipment, stove, radio, stereo equipment or other mechanical amplification equipment, vending or coin operated machine, refrigerator, boiler or coffee equipment. Additionally, the Member must not conduct a mechanical business therein, do any cooking therein, or use or allow to be used in the building where the Business Centre is located, oil burning fluids, gasoline, kerosene for heating, warming or lighting. No article deemed hazardous on account of fire or any explosives shall be brought into the Business Centre. No offensive gases, odors or liquids shall be permitted. No weapons concealed or otherwise, shall be permitted. The Business Centre is intended to be used solely for office use.
- Electrical: The electrical current shall be used for ordinary lighting, powering personal computers and Mobile, only unless written permission to do otherwise was first obtained from the Centre at an agreed cost to the Member. If the Member requires any special installation or wiring for electrical use, telephone equipment or otherwise, such wiring shall be done at the Member expense by the person designated by the Centre. Also, Centre is not responsible for damage of their electrical equipment due to any electrical fluctuation or due to any other reason. Member is aware that Centre is not equipped with any power backup facility.
- Shared Space: Members shall not use the co-working shared space for meetings or free guests. Day offices or meeting rooms should be used to accommodate these needs with an extra cost (Price for the same will be shared at that time)
- Age Limit : Members below 16 years are not allowed in the premises, and should not disturb any member in there working.
- Maintenance Service: The Centre is always allowed to Inspect, repair and maintenance of the all equipment and Furniture. The employees of the Centre shall be entitled to enter the office space allotted to the Member for maintenance and inspection at any time.
- Manufacturing and Storage: The Member shall not use the Business Centre for manufacturing or storage of merchandise except as such storage may be incidental to general office purposes. The Member shall not occupy or permit any portion of the Business Centre to be occupied or used for the manufacture, sale, gift or use of liquor, narcotics or tobacco in any form.
- Locks: No additional locks or bolts of any kind shall be placed upon any of the doors or windows of the Business Centre by the Member nor shall any changes be made to existing locks or the mechanisms thereof.
- Soliciting: Members may only solicit other Members for business or any other purpose through Centre approved channels (e.g. notice-boards, networking events, etc.)
- Smoking: Smoking of any type i.e. nicotine, electronic, flavor hukka or any other form, shall be prohibited in all areas, including general common area, balcony staircase or any other open area. No smoking shall be permitted at any time in any area of the Business Centre.
- Harassment: The Member or the Member officers, directors, employees, shareholders, partners, agents, representatives, contractors, Members, or invitees shall be prohibited from participating in any type of harassing, discriminatory or abusive behavior to the Centre team members, other Members or invitees, verbal or physical in the Business Centre for any reason. Any breach of this rule is a material breach of your Membership (not capable of remedy) and your Membership may be terminated immediately and services will be suspended without further notice.
- Packages and Mail Deliveries: Packages and deliveries are subject to a maximum weight of 5Kgs and a maximum size of 24Inch of length and girth combined.
- Health and Safety: In order to ensure all Centre users have a safe and secure working environment, the Member, their employees and visitors must comply with all health andsafety requirements set out by the Centre, by law and as are otherwise applicable to the Centre.
- Parking: Member is aware that, there is no General / allotted Parking space available in the Centre. Member and their guests / visitors can park their vehicle on the road side at their own risk. Members has an option to opt the allotted parking space with an additional monthly payment for each parking space. It is important to note that the center is not liable for any loss or damage that may occur in the parking area.
- Access: All Member(s) has access to the Centre from 10:00AM to 6:00PM Monday to Friday, except Bank and Public Holidays or as per there signed subscription, Any usage beyond specific time will attract Extra usage charges as specified in Proposal and It is entirely within centre discretion.
- Safe and Secure Environment: In the event that you expect to have multiple/numerous visitors, depending on specific circumstances, we may ask you to take an additional office Space or meeting room space at rates given at that time, to accommodate those visitors or else those visitors may be refused to access the Centre. So please discuss any high-volume visitor requirements you may have, with Centre team in advance.
- Pay-As-You-Use Services: All of the pay-as-you-use services are subject to the availability of the Centre staff at the time of any service request. The Centre will endeavor to deal with a service request at the earliest opportunity and provide the additional services required, but the Centre will not be held responsible for any delay.
- Meeting and Business Conference Room: The Member use of the Meeting and Business Conference Room is subject to availability. It can only be booked prior to such requirement or on the day of use via Call or at the Centre by way of paying advance amount online or cash, on a first come, first served basis. The meeting and business conference room must be returned to the state in which it was originally found following the meeting and conference. Cancellation of usage is at our discretion if any customer use is deemed to be excessive.
- If the services charges/bills payable by the Member have been outstanding for two weeks from the date of billing, the Centre shall be entitled to stop the services of the Member and shall be entitled to prevent access to the Member and its employees into the said premises and every part thereof and allow the Member one day’s time to remove its belongings. In the event of the Member refusing or neglecting to remove its belonging from the said premises, the Centre shall be entitled to open the premises or any parts thereof allotted to the said Member using the original key in their possession and in the presence of witness / or CCTV footage capture remove the articles and things therein. It is expressly agreed that the Centre shall not render itself liable for any civil or criminal action by so doing. This authority retained by the Centre and expressly agreed to by the Member is irrevocable and constitutes the basis for the Membership and the Member shall not be entitled to dispute, challenge or call into question the validity or reasonableness of this provision.
- In the event of the Member committing any breach of the terms and conditions herein contained and failing within 7 (seven) days of the receipt of a notice in writing/email/whats app in that behalf given by the Centre to remedy or make good such breach the Centre shall be entitled to forthwith revoke and or terminate the arrangement and/or the permission granted.
- Nature of a Membership: At all times, Centre remains in our possession and control. YOU ACCEPT THAT A MEMBERSHIP CREATES NO TENANCY RIGHT/INTEREST, LEASEHOLD ESTATE OR OTHER REAL PROPERTY INTEREST IN YOUR FAVOUR WITH RESPECT TO THE ACCOMMODATION. Occupation by you is the commercial equivalent of a Membership for accommodation in a hotel. We are giving you the right to share the use of the Centre with us and other Members.
- Extra /lost access cards / key: Extra / Lost Card / key and replacement card / key (regardless of reason) are available to the Member for a cost of Rs.500/- a piece. The Centre, at his discretion; reserves the right to deny request for extra / Lost access card.
- Office Restoration Service: The Member must leave the premises in the same condition as it was when the Member took it. An exit fee of Rs.10,000/- (Ten Thousand Only) or to the extent of damages (whichever is higher) will be charged upon the Members departure or if the Member, at its option, chooses to relocate to different rooms/desk/ space within the Centre. The Centre reserves the right to charge additional reasonable fees for any repairs needed above and beyond normal wear and tear.
- The Centre Internet and Telecommunications Policy:
- Content: The Member acknowledges the Centre is merely providing Internet transmissions, similar to a telephone company, and the Centre accepts no liability for the content of transmissions by the Member.
- Restrictions: The Centre Internet service may be used only for lawful purposes and shall not be used in connection with any criminal or civil violations of state, federal, or international laws, regulations, or other government requirements. Such violations include without limitation theft or infringement of copyrights, trademarks, trade secrets, or other types of intellectual property; fraud; forgery; theft or misappropriation of funds, credit cards, or personal information; violation of export control laws or regulations; libel or defamation; threats of physical harm or harassment; or any conduct constituting a criminal offense or gives rise to civil liability. The Member is responsible for maintaining the basic security and virus protection of the Member systems to prevent their use by others in a manner which violates the Membership Terms. The Member is responsible for taking corrective actions on vulnerable or exploited systems to prevent continued abuse.
- The Centre Internet Access-Per User Basis: The Centre grants the Member access to the Centre Internet service on a per user access basis. In the event of the Member increasing the number of users by other means, the Member agrees to pay the Centre a fee for each user who accesses the Internet, either directly or through a proxy server/firewall.
- Security Violations: The Member is prohibited from engaging in any violations of system or network security. The Centre Internet service may not be used in connection with attempts-whether or not successful-to violate the security of a network, service, or other system. Examples of prohibited activities include, without limitation, hacking, cracking into, monitoring, or using systems without authorization; scanning ports; conducting denial of service attacks; and distributing viruses or other harmful software. The Centre reserves the right to suspend the Internet access upon notification from a recognized Internet authority or ISP regarding such abuse. The Centre may disconnect the Member Equipment and withhold services if the Centre consider the Member hardware or software is, or has become, inappropriate for connection to the Centre network. The Member is responsible for the Member own virus protection on the Member systems and hardware.
- We do not make any representation and cannot guarantee any maintained level of connectivity to our network or to the internet, nor the level of security of IT information and data that you place on it.
- Vacating Notice:- The member must give ONE month(s) notice period or Equivalent to the Security Deposit whichever is higher before vacating the space.
- Handing over of the Premises: The Member shall cease to use and occupy the premises on the expiry or sooner termination of this membership. He also has to vacate the premises and remove all its equipment, belongings, articles and things and its employees / personnel and at the same time hand over all keys and access cards.
- The Member shall remove from the premises their equipment used that any damage or defacement is occasioned to any part of the Premises in the course of such removal, the same shall be remedied by the Member immediately and at their own expense. If the Member fails to do so, the Centre may do so at the Member expense. If the Member leaves any property in the premises, the Centre may dispose of at the Member cost in any way the Centre chooses without owing the Member any responsibility for it or any proceeds of sale.
- Members are requested to remove all their articles, belongings and things lying in the said Centre on expiry of the membership or in the event of prior termination, upon the date of termination.
- Upon the termination of the Membership or sooner determination and upon the failure of the Member to remove itself, its employees and its belongings from the said premises, the Member shall be liable and hereby agrees to pay to the Centre liquidated damages of Rs.50,000/-(Rupees Fifty Thousand only) and compensation and/or manse profits of Rs.5,000/- (Rupees Five Thousand) per day for the wrongful and unauthorized use of the said premises and the facilities provided therein. The Centre shall be entitled without prejudice to its other rights to forfeit the security deposit in the event of any breach on the part of the Member.
- Termination of membership at the sole discretion of the Centre.
- All disputes are subject to Nagpur Jurisdiction only
